Welcome to Seened Me. These Terms and Conditions (“Terms”) govern your use of our WhatsApp CRM platform (the “Service”). By accessing or using Wavely Chat, you agree to these Terms. If you do not agree, please do not use the Service.
1. Overview
Wavely Chat (“we,” “our,” or “us”) provides tools that allow businesses to connect their WhatsApp Business Account, manage templates, and send and receive messages through the WhatsApp Business Platform. These Terms apply to all users of the Service, including businesses, developers, and their authorized users.
2. Eligibility
To use Wavely Chat, you must be a registered business or authorized representative with a valid WhatsApp Business Account and comply with all applicable Meta and WhatsApp policies. You are responsible for ensuring that your use of the Service is compliant with local laws and regulations.
3. Use of the Service
You agree to use Wavely Chat only for lawful business purposes.
- You may use Wavely Chat to send and receive WhatsApp messages through your verified WhatsApp Business Account.
- You must not use the Service to send spam, unsolicited messages, or content that violates Meta’s Commerce, Business, or Messaging Policies.
- You are solely responsible for message content, recipient management, and compliance with applicable data protection and consent laws.
4. Account Connection and Authentication
Connecting your WhatsApp Business Account may require authentication via Meta’s Embedded Signup or Facebook Login for Business. By connecting, you grant Wavely Chat permission to access your WhatsApp Business Account, phone numbers, message templates, and related data, as necessary to operate the Service.
5. Access Tokens and Security
You are responsible for safeguarding credentials, tokens, and account access. Wavely Chat securely stores business access tokens and uses them only for authorized WhatsApp API operations. Unauthorized sharing or misuse of tokens is strictly prohibited.
6. Data and Privacy
Your use of Wavely Chat is subject to our Privacy Policy, which explains how we collect, use, and protect your information. You agree that we may process your data as described in the Privacy Policy.
7. Intellectual Property
All content, branding, software, and materials within Wavely Chat are owned by or licensed to us and are protected by applicable copyright, trademark, and intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our written consent.
8. Message Content and Responsibility
You are solely responsible for the content of messages sent through your WhatsApp Business Account. Wavely Chat is a facilitator and does not control, monitor, or endorse user-generated content. Messages must comply with Meta’s Business Messaging Policies and all applicable laws regarding consent and data privacy.
9. Third-Party Services
Wavely Chat integrates with Meta’s WhatsApp Business API and other third-party services. Use of those services is subject to their own terms and conditions. We are not responsible for the actions or failures of third-party platforms or providers.
10. Fees and Payments
Wavely Chat may offer free and paid plans. Paid plans will specify billing cycles, pricing, and included features. All fees are non-refundable except where required by law. Meta may separately charge your business for message delivery costs via the WhatsApp Business Platform.
11. Termination
We may suspend or terminate your account if you breach these Terms, misuse the Service, or violate applicable laws. You may terminate your use of Wavely Chat at any time by disconnecting your WhatsApp Business Account and requesting data deletion.
12. Disclaimer of Warranties
The Service is provided “as is” and “as available” without warranty of any kind. We do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose.
13. Limitation of Liability
To the fullest extent permitted by law, Wavely Chat shall not be liable for any indirect, incidental, or consequential damages arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid (if any) in the six months preceding the event.
14. Indemnification
You agree to indemnify and hold harmless Wavely Chat, its affiliates, and employees from any claim, loss, or liability arising from your use of the Service, your violation of these Terms, or your breach of applicable laws.
15. Changes to These Terms
We may update these Terms occasionally. We will post updates on this page and, where appropriate, notify you via email or in-app notice. Continued use of the Service after changes take effect means you accept the updated Terms.
16. Governing Law
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Wavely Chat operates, without regard to conflict of law principles.
